MEMORIPRINT TERMS OF USE & ACCEPTABLE CONTENT POLICY

1. Acceptance of Terms
By accessing the MemoriPrint website, mobile application, or services (collectively, the "Service"), and by uploading any image or placing any order, you ("User," "you," or "your") agree to be bound by these Terms of Use & Acceptable Content Policy (the "Terms"). If you do not agree to all of these Terms, you may not use the Service.

2. Your Representations and Warranties
By using the Service, you represent, warrant, and agree that:

You are at least 16 years of age (or the age of majority in your jurisdiction, whichever is higher).
You own all rights, title, and interest (including copyright and intellectual property rights) in and to every image, design, and piece of content you upload or submit ("User Content"), OR you have secured all necessary licenses, rights, consents, and permissions from the rightful owners.
Your User Content, and its printing and fulfillment by MemoriPrint and its partners, does not and will not:

Infringe, misappropriate, or violate a third party's patent, copyright, trademark, trade secret, moral rights, or other intellectual property or proprietary rights.
Violate, or encourage any conduct that would violate, any applicable law or regulation or would give rise to civil liability.
Contain material that is illegal, threatening, harassing, hateful, defamatory, or promotes violence or discrimination against individuals or groups based on race, ethnic origin, religion, disability, gender, age, nationality, sexual orientation, or gender identity.
Contain pornographic material or the explicit depiction of sexual acts. Artistic nudity may be permitted but is subject to review and the production sensitivities of our global fulfillment partners.
Contain any material that depicts, alludes to, or exploits minors in a sexual or abusive manner. This is absolutely prohibited.
Contain private information of any third party, such as addresses or credit/debit card numbers.
You are solely responsible for ensuring your User Content complies with all applicable laws of the country from which you order and the country to which products are shipped, including laws governing AI-generated content.
3. Acceptable Use & Prohibited Content
MemoriPrint exists to help you hold precious memories. To protect our community, users, and partners, you may not use the Service to create products from User Content that falls into the following categories:

Intellectual Property Violations: Unauthorized use of copyrighted works (e.g., professional photos, logos, brand names, cartoon characters, artwork), trademarks, or patented designs.
Illegal & Harmful Content: Content that is unlawful, fraudulent, incites violence or hatred, promotes terrorism, or depicts graphic violence.
Child Exploitation Material (CSAM): Any depiction of minors in a sexual context. This will result in immediate account termination and reporting to the relevant national authorities.
Pornography: Explicitly pornographic material. The distinction between artistic expression and pornography is at MemoriPrint's sole discretion.
Infringing on Publicity/Privacy Rights: Using the name, image, likeness, or other identifying characteristic of an individual without their express consent for commercial use.
4. License Grant for Order Fulfillment
To provide the Service, you grant MemoriPrint and our trusted fulfillment partners (including Gelato) a limited, worldwide, non-exclusive, royalty-free, and terminable license to use, reproduce, modify (only as necessary to format for printing), store, and transmit your User Content solely for the purpose of processing, producing, and delivering your ordered products. This license terminates upon the completion of your order, though we may retain a copy for a limited period as outlined in our Privacy Policy to facilitate customer service and re-orders.

5. Content Review & Enforcement

No Active Pre-Screening: MemoriPrint does not actively pre-screen User Content. You are solely responsible for the content you upload.
Our Right to Review & Refuse: MemoriPrint reserves the right, but not the obligation, to review, refuse, reject, or cancel any order at any time for any reason, including if we, in our sole discretion, determine the User Content violates these Terms. During our initial launch phase, all orders are subject to manual review.
Enforcement Actions: Violation of these Terms may result in, without limitation, order cancellation without refund, termination of your account, and if appropriate, reporting of the content and your information to law enforcement or regulatory authorities. MemoriPrint will terminate the accounts of "Repeat Infringers."
6. Indemnification
You agree to defend, indemnify, and hold harmless MemoriPrint, its affiliates, licensors, service providers (including Gelato), and its and their respective officers, directors, employees, and agents (the "Indemnified Parties") from and against any and all claims, damages, judgments, awards, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your use of the Service or any User Content you upload.
Your violation of these Terms or any applicable law.
Your infringement of any third-party right, including intellectual property or privacy rights.
Any claim that your User Content caused damage to a third party or resulted in an investigation by authorities.
This indemnification obligation will survive the termination of your account and your use of the Service.

7. Disclaimer of Warranties; Limitation of Liability

Service "As Is": The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.
Liability Cap: To the fullest extent permitted by law, MemoriPrint's total liability to you for any claim is limited to the amount you paid for the specific product order giving rise to the claim.
Exclusion of Damages: MemoriPrint shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
8. General
